Spin-Off Automotive

Due to the increasingly dynamic markets in the automotive industry, the Continental Executive Board has decided, following a strategic review, to on spin off the Automotive group sector. Subject to the approval of the Supervisory Board in March 2025, the spin-off will be presented for resolution to the Annual Shareholders’ Meeting of Continental AG on April 25, 2025. The current plan is to complete the spin-off of Automotive as a European company (Societas Europaea, SE) listed on the Frankfurt stock exchange by the end of 2025. The independent company will operate under a new brand, which is to be launched by the end of April 2025. The company will be led by Philipp von Hirschheydt (50), who has headed the group sector as a member of Continental’s Executive Board since May 2023.

The Automotive group sector employs around 96,000 people (as of September 30, 2024) and generated sales of around €20.3 billion in the fiscal year 2023. The group sector has a high level of technological and system expertise as well as vertical integration. It has carved out a strong market position for innovative sensor solutions and displays as well as brake and comfort systems, and is offering great expertise in software, architecture platforms and assistance systems for the rapidly growing future market of software-defined and autonomous vehicles.

December 18, 2024 The Continental Executive Board informed the Supervisory Board at a meeting today of its decision and concrete plan to spin off the Automotive group sector. Subject to the approval of the Supervisory Board in March 2025 and resolution by the Annual Shareholders’ Meeting of Continental AG on April 25, 2025, the current plan is to complete the spin-off of Automotive as a European company (Societas Europaea, SE) listed on the Frankfurt stock exchange by the end of 2025. Continental Executive Board Decides to Spin Off Automotive

December 09, 2024 The Continental Executive Board has decided to spin off the Automotive group sector following its detailed evaluation announced in early August. Subject to the approval of the Supervisory Board in March 2025, the spin-off will be presented for resolution to the Annual Shareholders’ Meeting of Continental AG on April 25, 2025. The spin-off is expected to take place by the end of 2025. The preparations for it are to be completed by the end of the third quarter of 2025.
